This is a vintage 1980 Uncanny X-Men #137, death of Phoenix, complete and produced by Marvel Comics. The book would grade a Very Fine condition with a large dent/dimple in between Phoenix legs which goes through the cover and 8 pages(please see close up scan but it still may not be visible in the image provided), creasing/scratching breaking color, edge damage, soft cover creasing and white interior pages preventing any higher grade.
